Process for Fractional Shares

No fractional shares of the Company’s common stock shall be issued in connection with the 1 for 300 reverse stock split. Any shareholder holding certificates of less than 300 shares, or any shareholder where the reverse stock split results in fractional shares, will be notified by the transfer agent, Continental Stock Transfer & Trust ("Continental"), to submit their share certificate along with a transmittal letter supplied by Continental, to the transfer agent (or if held in street name this will be done by broker). All shareholders holding certificates must mail their stock certificates to Continental at 1 State Street Plaza, 30th Floor, New York, NY 10004. Shareholders will receive a new certificate rounding up their fractional share to the next nearest full share. We encourage our shareholders to submit their share certificates for the exchange in order that shareholders will have, in their possession, certificates that accurately reflect the number of shares held upon effectiveness of the reverse stock split. For shares held electronically no action is required as Continental will adjust the shares held electronically to the appropriate post reverse number of full shares.
